Bishop charles waldo maclean nursing home provided the following exempt purpose services in 2014: 44,794 days of long term nursing home care were furnished to patients. in august 2012, ehs entered into asset purchase agreements with an unrelated party (the "buyer") to sell bishop hucles and bishop maclean (the "homes"). ehs determined that the criteria for held for sale classification of the homes' assets and liabilities were met in august 2012. on july 16, 2014, the sale of bishop hucles was closed for a sales price of $29.5 million. on october 31, 2014, the sale of bishop maclean was closed for a sales price of $4 million. no impairment of assets resulted from the sale of the homes.
